These Terms and Conditions ("Terms") govern your access to and use of remotesale.co and any services offered by Josh Rockwater LLC, doing business as Rockwater and RemoteSale.co ("Company," "we," "us," or "our"). By accessing our website, submitting an application, or engaging our services, you agree to be bound by these Terms.

1. About Our Services

RemoteSale.co / Rockwater is a remote high-ticket sales agency. We provide outsourced sales closing services exclusively to established health and wellness businesses with proven funnels and pre-qualified leads. Our services include: high-ticket sales closing for programs priced $3,000–$50,000+; discovery and closing call management; lead follow-up via phone, email, and SMS; lead nurturing; missed opportunity recovery; CRM integration and pipeline management; and performance reporting.

Rockwater does not offer lead generation, advertising, or traffic services.

2. Eligibility and Application

Our services are available only to businesses that: have an active proven sales funnel; generate pre-qualified leads consistently; sell a high-ticket program with a proven track record; and are legally authorized to operate and enter this agreement.

Submitting an application does not guarantee acceptance. We reserve the right to accept or decline any applicant at our sole discretion. You agree to provide accurate, complete, and truthful information at all times. Providing false information is grounds for immediate termination.

3. Service Agreement

Upon acceptance, a separate partnership agreement will be executed outlining specific performance terms, compensation structure, and reporting obligations. These Terms serve as the foundational agreement governing your use of our website and initial engagement.

4. Compensation and Fees

Specific compensation arrangements will be detailed in your individual partnership agreement. Generally: compensation is performance-based and tied to revenue closed on your behalf; all payment terms and fee structures will be defined in writing; payment is due per the agreed schedule; and disputes must be raised in writing within 15 days of the relevant invoice.

5. Our 100-Day Performance Guarantee

Rockwater guarantees our sales representatives will deliver a positive return on your investment within 100 days, or we will replace the assigned representative(s) at no additional cost. This guarantee requires that: your funnel consistently supplies pre-qualified leads; you cooperate fully with onboarding and integration; and you do not materially change your offer or lead quality without prior written notice. The guarantee applies to representative replacement only, not monetary refunds.

6. Client Responsibilities

As a client, you agree to: provide a steady supply of pre-qualified leads; grant access to your CRM and scheduling tools; cooperate with onboarding and provide offer materials; respond promptly to information requests; maintain funnel quality and consistency; notify us of any changes to your offer or pricing; and ensure all leads have consented to receiving sales communications.

7. Intellectual Property

All content on remotesale.co — including text, scripts, frameworks, and methodologies — is the exclusive property of Josh Rockwater LLC. You may not copy or distribute our materials without written consent.

You retain ownership of all materials you provide to us. By engaging our services, you grant us a limited license to use your materials solely to deliver services. Both parties agree to maintain confidentiality of the other's proprietary business information. This obligation survives termination.

8. Data and Lead Handling

All leads and client data will be handled per our Privacy Policy and applicable data protection laws. You represent that: all leads you provide have lawfully consented to be contacted; you have the legal right to share their information; and you comply with all applicable laws including the TCPA and CAN-SPAM Act. We will not use your leads for any purpose other than delivering your services.

9. SMS Consent and Communications

By submitting our application and providing your phone number, you consent to receiving SMS from Josh Rockwater LLC. Message frequency varies. Rates may apply. Text HELP to +1 636-583-4600. Reply STOP to unsubscribe at any time.

10. Disclaimers and Limitation of Liability

We do not guarantee specific revenue outcomes or close rates. Results depend on factors outside our control including lead quality and market conditions. Our services are provided "as is." To the maximum extent permitted by law, Josh Rockwater LLC is not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed fees paid in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Josh Rockwater LLC from any claims, damages, or expenses arising from: your breach of these Terms; your violation of any law; claims by your leads related to how their data was collected; or your misrepresentation of your business or offer.

12. Termination

Either party may terminate with 30 days' written notice. We may terminate immediately for: material breach; fraudulent or illegal activity; failure to provide leads for more than 14 consecutive days; or non-payment. Upon termination, all outstanding fees are immediately due. Client data will be returned within 30 days.

13. Dispute Resolution

The parties agree to first attempt resolution through good-faith negotiation for 30 days. These Terms are governed by applicable U.S. law. Unresolved disputes shall be subject to binding arbitration or court proceedings in the jurisdiction where Josh Rockwater LLC is registered.

14. Prohibited Conduct

When using remotesale.co, you agree not to: use the site for unlawful purposes; attempt unauthorized access to our systems; scrape or harvest data without permission; submit false information; impersonate another party; or interfere with website functionality.

15. Third-Party Platforms

Our services may integrate with third-party tools (e.g., GoHighLevel, Google, Facebook). We are not responsible for third-party practices or privacy policies.

16. Modifications to Terms

We may modify these Terms at any time. Updated Terms will be posted with a revised date. Continued use constitutes acceptance.

17. Entire Agreement

These Terms, together with our Privacy Policy and any executed partnership agreement, constitute the entire agreement between you and Josh Rockwater LLC and supersede all prior discussions or agreements.
